ARTICLE 1 - NAME
The name of this organization shall be SPACE COAST QUILTERS,
INC.
ARTICLE 2 - PURPOSE
The purpose of this organization shall be to create,
stimulate and maintain an interest in all matters pertaining to quilts,
and to promote and advance the art of quiltmaking, and to conduct educational
programs, and to provide services in the design and techniques of quiltmaking.
ARTICLE 3 - NON-PROFIT
The guild shall not be for profit and no part if its
assets shall incur to the benefit of any individual member, but shall be
used exclusively for the purpose of the guild.
ARTICLE 4 - MEMBERSHIP
Section (1) Membership is open to all who have an interest
in quilts.
Section (2) Membership is required for further attendance
after attending two meetings as a guest.
Section (3) Membership shall be on a yearly basis. Dues
will be determined annually by the Executive Board. Any changes to the
annual dues that the Executive Board deems necessary must be approved by
the general membership. Senior citizens annual dues are available to any
person 62 years of age or older and shall be two thirds of the annual dues
approved by the general membership. Dues are payable in June and memberships
not renewed by August shall be terminated.
ARTICLE 5 - ELECTION OF OFFICERS
Section (1) The election of officers shall be held at
the annual meeting in May.
Section (2) At the March meeting each year, the President
shall appoint a nomination committee of five members. One member of the
nominating committee shall be an Executive Board Member. The remaining
four shall include members of the guild.
Section (3) Nominations shall be presented at the April
meeting. Additional nominations from members will be accepted at the May
meeting with prior approval of the member being nominated. Elections will
be held that month.
Section (4) Any vacancy occurring during the term of
duty of an officer other than president, shall be filled by an appointment
agreed upon by the remaining officers.
ARTICLE 6 - OFFICERS
Section (1) Officers shall be President, First Vice-President,
Second-Vice President, Secretary, and Treasurer.
Section (2) All officers shall serve one year terms commencing
in June. An individual may not be elected to the same office for more than
two consecutive terms.
Section (3) Duties of Officers
PRESIDENT - shall preside over general meetings, board meeting and coordinate all activities. The President will appoint committee chairpersons necessary to the welfare of the guild and automatically will be a member of all meetings.
FIRST VICE-PRESIDENT - shall perform the duties of the president in the absence or disability of the President and shall be in charge of all internal activities. In the event of permanent absence or disability of the President, the First Vice-President will become to President and appoint a new First Vice-President. First Vice-President shall also arrange all outside field trip and programs. The second vice-president has permission to spend up to $250.00 on programs and classes without consent of guild.
ARTICLE 7 - COMMITTE
Committee chairpersons shall be appointed by the President
with majority approval of the Board and their tenure shall be terminated
with the installation of a new President.
ARTICLE 8 - EXECUTIVE BOARD
The Executive Board shall consist of the elected officers,
the appointed standing committee chairpersons, and the immediate past President.
ARTICLE 9 - MEETINGS
The guild shall meet once a month, except the month of
July. The meetings shall be governed by Robert's Rules of Order.
ARTICLE 10 - AMENDMENTS
Section (1) Proposal for bylaw amendment shall be as
follows: May be proposed in writing by either the Executive Board or a
member.
Section (2) No amendment shall be voted on prior to publication
in the newsletter.
Section (3) The bylaws may be amended by a total of 2/3
vote of members present at a monthly meeting.
ARTICLE 11 - TERMINATION
In the event the guild is terminated, all assets shall
be given to charity.
JOB DESCRIPTION OF OFFICERS
President
The President conducts and sets the agenda's for all
meeting (board and general). Appointing committee chairpersons and
is a standing member of all committee meetings. She fills or appoints
someone to fill any office or chairpersons responsible if they are unable
to perform. She should promote harmony and good will between members
and work for the good of the guild.
First Vice President
Take over the duties of president in her absence
Set up all outside field trips for guild, which includes
the following
a. Choose different locations for trips, and have guild
vote on choices;
b. Choose Bus Line for trip;
c. Choose hotel and arrange for rooms;
d. Collect and track all money paid for trip and turn
into treasurer;
e. Print up a sheet with all the details of trip;
f. Set up an itinerary of trip.
Second Vice President
Will arrange programs for guild meetings. Set up
classes and arrange for teachers to come to teach things of importance
to the guild. Will collect funds for classes pass out lists of instructions
and supplies needed. Will arrange location of class. Will receive
the bill and get check from treasurer to pay for the same.
Secretary
The job of Secretary is to take minutes and notes at
the monthly guild meetings, board meeting and show meeting. List
how many members and guests were in attendance. Mention who won the
basket of the month and show and tell. Inquire who needs too be mentioned
on the pray list. Explain what happened during the meeting.
There should be four copies of minutes, one for the Secretary, one for
the newsletter, one for the president and one for the files. She writes
or response to all letters that need to be answered.
Treasurer
Shall collect and disburse all funds as needed for the
guild. Each month reconcile the monthly bank statement and keep a
detailed report of all income and expenditures. This shall be reported
at the regular business meeting each month.
